1. Acceptance of these Terms

These Terms & Conditions ("Terms") form a binding agreement between you (and the company you represent) and LendKoPH regarding your use of the website and application (the "Service"). By creating an account or using the Service, you confirm that you have read, understood, and agree to these Terms. If you do not agree, please do not use the Service.

2. The Service

LendKoPH provides software for loan monitoring, collections, portfolio tracking, and bookkeeping intended for Philippine lending and financing companies. We may add, change, or remove features over time to improve the Service.

3. Beta and pricing

The Service is currently offered in beta and free of charge. Beta features may be incomplete, may change, and may occasionally be unavailable. Paid plans are coming soon; we will give notice before any charges apply, and continued use after a plan takes effect will be subject to the applicable fees and terms.

4. Eligibility and accounts

You must be at least 18 years old and authorized to act for your business to use the Service. You are responsible for the accuracy of your registration details, for keeping your password confidential, and for all activity under your account. Notify us promptly of any unauthorized use. We are not liable for losses arising from your failure to safeguard your credentials.

5. Demo accounts

Demo accounts are provided for evaluation only. A demo account and all data associated with it are automatically and permanently deleted 24 hours after sign-up, and this deletion cannot be undone. Do not store real or important data in a demo account.

6. Acceptable use

You agree not to: use the Service for any unlawful purpose or in violation of Philippine law; upload malicious code or attempt to disrupt, probe, or gain unauthorized access to the Service or other users' data; reverse engineer or copy the Service except as permitted by law; or use the Service to process data you have no lawful right to process. You are responsible for ensuring your own compliance with laws applicable to your lending business, including SEC and BIR requirements and the Data Privacy Act.

7. Your data and ownership

As between you and LendKoPH, you own the data you enter into the Service ("Customer Data"). You grant us the limited rights needed to host, process, and display that data in order to provide the Service to you. You are responsible for the accuracy and legality of your Customer Data and for obtaining any consents required from your own clients. Our handling of personal data is described in our Privacy Policy.

8. Not professional advice

LendKoPH is a software tool. It does not provide legal, tax, accounting, or financial advice, and its outputs — including computed interest, taxes, schedules, and reports — are aids that you must review and verify. You remain responsible for your filings and for compliance with SEC, BIR, and other regulations. For advice on your specific situation, consult a qualified professional.

9. Intellectual property

The Service, including its software, design, and content (excluding Customer Data), is owned by LendKoPH and protected by intellectual property laws. These Terms do not transfer any ownership in the Service to you.

10. Third-party services

The Service may rely on third-party providers (for example, hosting and infrastructure). We are not responsible for the availability or acts of third parties, and your use of any third-party service is subject to that provider's own terms.

11. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including fitness for a particular purpose, accuracy, or uninterrupted availability, to the fullest extent permitted by law. We do not warrant that the Service will be error-free or that results obtained from it will be accurate or reliable.

12. Limitation of liability

To the fullest extent permitted by Philippine law, LendKoPH and its team will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for any loss of profits, data, or goodwill, arising from or related to your use of the Service. Because the Service is provided free of charge during the beta, our total aggregate liability for any claim relating to the Service is limited to the amount you paid us for the Service in the twelve months before the claim, which during the beta is zero pesos.

13. Indemnity

You agree to indemnify and hold LendKoPH harmless from claims, damages, and expenses arising out of your Customer Data, your use of the Service, or your breach of these Terms or of any law.

14. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms, if required by law, or to protect the Service or other users. On termination, your right to use the Service ends; certain provisions that by their nature should survive (such as ownership, disclaimers, and limitation of liability) will continue to apply.

15. Governing law and disputes

These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict of law rules. The parties will first attempt to resolve any dispute amicably; failing that, the dispute will be submitted to the exclusive jurisdiction of the competent courts of the Philippines.

16. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.
